Overview of Playbooks

Edited

Playbooks are at the heart of DraftPilot's AI-driven contract review process. They serve as customizable guidelines that the AI uses to screen contracts, identify potential issues, and provide actionable drafting suggestions.

This overview will help you understand how playbooks work within DraftPilot and how you can leverage them to enhance your contract drafting and review workflows.

Why Playbooks Matter

  • AI-Powered Reviews: DraftPilot's AI requires a playbook to effectively analyze a contract. The playbook acts as a reference point, outlining the topics and positions that the AI should look for during the review.

  • Consistency and Compliance: By using playbooks, you ensure that all contracts adhere to your organization's policies and industry standards.

  • Customization: Playbooks can be tailored to specific clients, industries, or transaction types, providing flexibility and precision in contract reviews.

Built-In Playbook Templates

DraftPilot comes equipped with a library of playbook templates based on what we consider to be market standards. These templates cover a range of common contract types and are designed to provide a solid foundation for your contract reviews.

Available Templates Include:

  • Master Service Agreements (MSAs):

    • Pro-Customer

    • Pro-Supplier

  • Statements of Work (SOWs):

    • Pro-Customer

    • Pro-Supplier

  • Service Agreements:

    • Pro-Service Provider

    • Pro-Customer

  • Non-Disclosure Agreements (NDAs):

    • Mutual NDA

    • One-Sided NDA (Pro-Recipient)

  • Data Processing Agreements (DPAs):

    • Pro-Controller

  • Reseller Agreements:

    • Pro-Customer

Key Features of Templates:

  • Editable Content:

    • Editing team copies: Templates are fully customizable. You can modify positions, add new playbook entries, or remove those that aren't relevant to your needs. If you have 'edit' permissions within your team account you can edit the templates for your entire team.

    • Private playbooks: If you'd prefer a private copy you can edit that only you have access to, you can 'copy' the playbook to your "private workspace" and then make edits. If you don't have a private workspace, it may be that your organisation does not allow this, or that this wasn't set-up when you signed up. Contact us at contact@draftpilot.ai to check.

  • Regular Updates: Our library is continually expanding, with new templates added monthly.

Creating Playbooks with AI

In addition to using our built-in templates, DraftPilot offers two AI-driven methods to generate custom playbooks:

1. Contract Type and Role

  • Simple Selection: Indicate the type of contract you're dealing with (e.g., MSA, NDA) and specify who you represent (e.g., customer, supplier).

  • AI Generation: The AI will generate a draft checklist playbook tailored to your selections.

  • Customization: Review and tweak the generated playbook to ensure it aligns with your specific requirements.

2. Uploading a Template Contract

  • Template Analysis: Upload a template contract that reflects your preferred positions and standards.

  • Playbook Creation: The AI analyzes the uploaded contract to generate a third-party playbook based on its content.

  • Clause Integration: Relevant clauses from your template are added to the playbook, which the AI will reference during reviews to inform its markups.

Manual Playbook Creation

If you prefer complete control, you can also create playbooks manually:

  • Start from Scratch: Build a playbook by adding playbook entries and positions directly in the playbook editor.

  • Save and Reuse: Once created, your custom playbooks can be saved and reused for future contracts.

Using Playbooks in Contract Reviews

With your chosen playbook in place, you can leverage DraftPilot's AI to:

  • Screen Contracts: Automatically review contracts against your playbook to identify deviations and potential issues.

  • Flag Issues: The AI highlights clauses that don't align with your playbook standards.

  • Receive Suggestions: Get drafting suggestions and alternative language to bring the contract in line with your preferences.

  • Implement Changes: Easily accept or modify suggestions directly within MS Word.

Benefits of Using Playbooks

  • Efficiency: Streamline the review process by focusing on key areas highlighted by the AI.

  • Risk Mitigation: Ensure that all contracts meet your predefined standards, reducing the risk of unfavorable terms.

  • Knowledge Sharing: Standardize best practices across your team or organization by sharing playbooks.

  • Continuous Improvement: Update and refine playbooks over time to adapt to new regulations or changes in risk tolerance within the legal team.
